LL GLOBAL, INC. MARKETING CAMPAIGN CONSENT AND RELEASE (Individual not on behalf of a Company)

Customer, as set forth below (“Customer”), hereby enters into this Marketing Campaign Consent and Release (the “Release”) with LL Global, Inc., a Connecticut not-for-profit corporation with its principal place of business at 300 Day Hill Road, Windsor, Connecticut 06095 (collectively, with its brands, LIMRA and LOMA, to be referred to as “LL Global”).  Customer understands that LL Global is producing a marketing campaign and program, including, but not limited to visual and online content (the “Campaign”) that may include Customer’s name, images, and interviews and recordings (collectively to be referred to as “Name”).

  1. Customer hereby irrevocably agrees and consents that LL Global and its designees, including giving all clearances, copyright and otherwise, thereof, the right to use its Name as embodied in the Campaign whether recorded on or transferred to print, videotape, film, digital media, slides, photographs, audio tapes, web based or other media, now known or later developed. This Release includes, without limitation, the right to edit, mix or duplicate and to use or re-use the Campaign in whole or part as LL Global may elect, provided, however, that LL Global may not materially distort the substance of Customer’s contributions or any comments or analysis made therein. Customer hereby agrees that Customer shall neither have nor acquire any right, title, or interest whatsoever, including copyright or any other intellectual property right, in or to the Campaign, and Customer assigns to LL Global, to the fullest extent possible, any and all of such right, title, or interest, legal or moral, in the Campaign that Customer has or may acquire by operation of law or otherwise, and Customer hereby waives any such right, title, or interest not subject to transfer or assignment.

  2. Customer ensures it has all rights and permissions necessary to grant all rights provided hereunder, and hereby grants LL Global and its designees the right to use its Name, either alone or not, for all lawful commercial and non-commercial uses, including business, marketing, promotional, educational, and training.

  3. Customer understands that LL Global is not obligated to offer the Customer the right to examine or approve the final or completed Campaign, or to use Customer’s Name in the Campaign.

  4. Customer hereby releases, discharges, and agrees to hold and save harmless and defend LL Global, its employees, agents, licensees, legal representatives or assigns, and all persons acting under its permission or authority or those for whom it is acting, from any claim, expenses, demands, damages, or liability by virtue of: (i) any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may occur or be produced in the making of the Campaign or in any subsequent processing thereof, as well as any publication thereof, including without limitation any claims for libel or violation of any right of publicity or privacy; (ii) breach of Customer requirement to ensure it has all rights and permission to grant use of its Name in the Campaign as provided hereunder; and/or (iii) LL Global’s use or non-use of the Campaign.

  5. Customer confirms that it has the right to enter into this Release, that Customer is not restricted by any commitments to third parties, and that LL Global has no financial commitment or obligations to Customer as a result of this Release. The rights granted LL Global herein are perpetual and worldwide.

  6. This Release contains the entire agreement between LL Global and Customer regarding the subject matter hereof and may only be amended by mutual written agreement of both parties. This Release shall be governed and construed by the laws of the State of Connecticut and any dispute arising out of, or in connection with, this Release will be heard in the State of Connecticut.

Company hereby irrevocably agrees and consents that LL Global and its designees, including giving all clearances, copyright and otherwise, thereof, the right to use its Name as embodied in the Campaign whether recorded on or transferred to print, videotape, film, digital media, slides, photographs, audio tapes, web based or other media, now known or later developed.
